Securities and Exchange Board of India (SEBI) Chairman Tuhin Kanta Pandey has stressed the critical role of independent directors in effective decision-making and protecting minority shareholders’ interests. Speaking at a CII event on corporate governance, Pandey highlighted that independent directors are accountable for decisions, often without full operational visibility, making their role both critical and complex.

Pandey’s comments come against the backdrop of HDFC Bank’s part-time chairman Atanu Chakraborty’s resignation, citing practices not aligned with his personal values and ethics. Pandey urged independent directors to be more responsible, emphasizing their role in overseeing compliance, risk management, and financials.
